1. Introduction

These Terms of Use (“Terms”) govern the use of all Ready Steady Literacy resources provided by Literacy Counts Ltd (“we”, “us”, or “our”), including:

• Ready Steady Write
• Ready Steady Spell
• Ready Steady Read Together
• Ready Steady Phonics

These Terms apply to all subscribing schools and authorised staff members. By purchasing or accessing the resources, you (“you”, “your school” or “institution”) accept and agree to be bound by these Terms.

2. Subscription & Membership

2.1 Duration of Subscription
Subscriptions are issued for a fixed term of two (2) years, with annual invoicing. By subscribing, you agree to the full two-year term. Cancellations will not release you from this commitment.

2.2 Annual Invoicing
Invoices are issued annually, usually during the summer term, in advance of the upcoming academic year. New subscribers joining mid-year will receive a pro-rata invoice for the remaining period.

2.3 Ongoing Subscriptions These Terms & Conditions apply to both new and continuing subscribers. If your school is entering its second year of the subscription term, these Terms still apply as a reaffirmation of the ongoing agreement.

2.4 International Subscribers
Non-UK schools (e.g. British International Schools) may subscribe, subject to compliance with local tax laws and payment terms. Currency and bank charges may apply.

3. Access, Passwords & Security

3.1 Authorised Users Access is granted strictly to authorised teaching and leadership staff at the subscribing school. Subscriptions do not extend to parents, private tutors, partner schools, or external consultants.

3.2 Passwords and Security
All login credentials are confidential.

Schools must:
• Ensure passwords are updated at the start of each academic year
• Remove access promptly for any departing staff members
• Ensure each user has an individual login where applicable

3.3 Prohibition on Sharing

Under no circumstances may passwords or login details be shared with unauthorised users, including but not limited to:
• Other schools
• Consultants or contractors
• Former staff members
• Parents or caregivers
• Social media or online forums

3.4 Consequences of Breach

Sharing passwords or permitting unauthorised access constitutes a material breach of these Terms and may result in:

• Immediate suspension or termination of your school’s access
• Permanent revocation of your school’s subscription without refund
• Liability for damages equivalent to the cost of unauthorised access
• Legal action for breach of copyright and licensing terms

We reserve the right to audit account activity and pursue remedies in cases of misuse.

3.5 Prohibited Sharing with External Providers

You must not share any part of the resources, including login credentials or downloaded content, with:

• Educational consultants or freelancers
• Competing resource providers or publishers
• Teacher training organisations or CPD providers
• Any third-party delivering education-related services

Such activity is a serious breach of copyright and confidentiality, and may result in immediate legal action, revocation of your subscription, and pursuit of damages.

4. Use of the Resources

4.1 Permitted Use
Resources are licensed solely for educational use by your school’s staff, for delivery to pupils at your school.

4.2 Prohibited Use
You must not:

• Copy, resell, or redistribute any part of the resources
• Upload materials to public or shared drives
• Use the materials in commercial training, conferences, or public distribution
• Share access with Multi-Academy Trusts unless each school holds a valid licence
• Use the resources after subscription has lapsed

5. Payment Terms

5.1 Payment Methods
Accepted payment methods include bank transfer, credit/debit card, and invoice settlement. By subscribing, you agree to receive annual invoices.
By paying an invoice, you confirm your acceptance of these Terms and Conditions.

5.2 Non-Payment
Failure to pay within the invoice terms may result in:

• Suspension of access
• Interest charges (in accordance with the Late Payment of Commercial Debts Act 1998)
• Legal recovery of outstanding balances

5.3 Refunds
All subscriptions are non-refundable. Early termination will not result in a partial refund.

6. Intellectual Property

6.1 Ownership
All content remains the sole intellectual property of Literacy Counts Ltd. Subscription grants you a nonexclusive, non-transferable licence for use during your active subscription only.

6.2 No Modification or Reverse Engineering
You may not modify, copy, adapt, translate, or attempt to decompile any part of the resources.

6.3 Branding and Attribution
All branding, copyright marks, and visual identity must remain intact.

7. Technical Requirements

7.1 Access Conditions
Resources are delivered via web browser and require a reliable internet connection. Literacy Counts Ltd is not responsible for connectivity issues within your school’s network or device limitations.

7.2 Maintenance and Updates
We may update content, structure, or platform features from time to time to improve functionality or pedagogy. No guarantee is made that specific features will remain unchanged.

8. Termination & Renewal

8.1 Cancellation
You may cancel the subscription at the end of the 2-year term with written notice provided before the renewal invoice is issued. If no cancellation is received, the subscription renews automatically under a new two-year term.

8.2 Termination for Breach
We reserve the right to suspend or terminate access if you:
• Share login credentials
• Allow unauthorised users to access the platform
• Fail to pay your invoice
• Breach copyright or fair usage terms

9. Communication

9.1 Electronic Communication
All notices, invoices, updates, or support communications will be sent to the designated school contact via email. It is the school’s responsibility to ensure contact details remain up to date.

10. Legal Matters

10.1 Governing Law
These Terms shall be governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the English courts.

10.2 Amendments
We may update these Terms from time to time. Notice of changes will be provided to account holders. Continued use indicates acceptance.

10.3 Severability
If any part of these Terms is held to be invalid or unenforceable, the remainder shall continue in full force and effect.
